Base Salary Range: $300,000 - $450,000

Primary Responsibilities:

In this role, a successful candidate will work on a variety of legal matters to support the Firm’s investment platform, including its investment funds and associated regulatory requirements: 

  • Assist in new product launches, including structuring fund offerings, managing fund and investment management documents, investor side letters and various fund disclosures, and overseeing all aspects of operational setup of new products and entities.
  • Assist in ongoing legal aspects of operating existing investment funds, including preparing amendments, consents, and updating and revising of investment vehicles’ offering materials.
  • Work across different product types including private funds, Investment Company Act-regulated funds (BDCs) and separately managed accounts.
  • In connection with new product launches and ongoing attention to existing investment vehicles, directly negotiate and liaise with clients and investors in partnership with marketing and investor relation teams.
  • Work closely with internal and external tax advisers to ensure efficient fund structuring and maintenance for US and non-US investors.
  • Assist in the negotiation and drafting of fund- and asset-level financing arrangements as well as overseeing brokerage and ISDA counsel/arrangements.
  • Support and collaborate with various business groups including investment professionals, finance, investment operations, marketing and tax. Assist in fund compliance matters, side letter compliance and implementing and monitoring fees and expense provisions.
  • Work with in-house Legal and Compliance teams and external counsel on fund and/or entity level filings.
  • Coordinate with other stakeholders on BDC governance matters, fund compliance and regulatory matters.
  • Assist in managing outside counsel to ensure first-rate and efficient advocacy for the firm.
  • Assist in other legal matters to support the firm as part of the broader legal team

 Basic Qualifications:

  • J.D. degree required.
  • Candidates should possess 8+ years of law firm and/or in-house experience, with a focus on private investment funds.
  • The successful candidate should have strong drafting, communication, and organizational skills, as well as a demonstrated ability to interpret legal and business terms.
