The Knowledge Management Lawyer (“KM Lawyer”) will be responsible for managing the creation, organization, and delivery of knowledge assets for Pillsbury’s Corporate & Securities M&A and EC/VC Practice Groups (“C&S Groups”). The KM Lawyer will support the delivery of a broad portfolio of knowledge services, including the collation and organization of precedents, the provision of regular current awareness (monitoring of legal and regulatory developments), the coordination and delivery of training and the handling of legal research and enquiries.

Candidates must have at least seven years practicing experience, with our preferred candidate having very significant experience in this field.

This role is eligible for a flexible working schedule (i.e., including part-time) that allows for a fully remote presence, if preferred.

Responsibilities & Qualifications

Other key responsibilities include:

  • Developing and maintaining a wide variety of standard form M&A and related corporate transactional documentation, including but not limited to merger agreements, stock purchase agreements, membership interest purchase agreements, asset purchase agreements, equity commitment letters, limited guaranties, M&A term sheets and letters of intent, escrow agreements, investment banking engagement letters, signing and closing checklists, issues list templates, organizational documents, management services agreements, joint venture agreements, contribution agreements, limited liability company agreements, partnership agreements, shareholders’ agreements, investment agreements, M&A due diligence request lists, M&A due diligence report templates, representations and warranties insurance (“RWI”) policies, and M&A ancillary agreement and closing deliverable templates;

  • Developing and maintaining a wide variety of standard form EC/VC and related corporate transactional documentation, including but not limited to NVCA Series A financing forms, formation packages for Delaware C-Corps, stock incentive plan documentation, advisor/consulting agreements, offer letters, IP assignment and restrictive covenant agreements, forms of one-way and mutual NDAs, Board consent resolutions, Stockholder consent resolutions, financing transaction checklist templates and secondary stock sale transaction documents;

  • Assisting the relevant practice group leaders with the C&S Groups’ training programs, including advising on the curriculum and assisting with the preparation of training materials. 

  • Monitoring current legal developments for the practice and key industries.

  • Informing attorneys of important events through emails, bulletins, training sessions or other appropriate means.

  • Preparing communications and tailored thought leadership materials for clients regarding these developments (including in pitches, newsletters and client presentations).

  • Utilizing attorneys within the C&S Groups to support the delivery of the Knowledge Management effort, coordinating their involvement, seeking partner feedback and review.

  • Identifying, collecting and organizing work product for the C&S Groups in the relevant Knowledge Management database.

  • Selecting preferred documents for each transaction and identifying precedents for future use; and

  • Adding annotations and other ‘value-add’ commentary to precedent documents where appropriate.

We’d love to hear from you if you:

  • Possess extensive knowledge of legal documents and legal practice in M&A and EC/VC transactions.

  • Demonstrate outstanding communication skills, both written and verbal.

  • Exhibit meticulous attention to detail.
     

And have:

  • A J.D., a Bachelor of Laws, or an equivalent.

  • 7+ years of relevant law firm experience as a practicing attorney in corporate and securities transactions.
     

Pay Range

Salary range between $160,000 - $260,000 depending on experience and location.
