Job Summary:

We are seeking a highly skilled In-house Counsel to join our team. As the primary legal advisor for the company, you will oversee all legal matters, ensure compliance with laws and regulations, and provide strategic guidance to senior management. This role encompasses a broad spectrum of legal fields, including labor, ethics, corporate governance, and commercial law. Additionally, you will serve as the point of contact with our external attorneys, coordinating legal strategies and managing legal proceedings. A successful candidate will demonstrate excellent leadership and communication skills, with a proven track record of handling complex legal issues.


Key Responsibilities:

  • Provide expert legal advice to senior management and executive team on various legal issues, including labor, ethics, corporate governance, and commercial matters.
  • Collaborate with the Ethics and Compliance department to develop and implement compliance policies, ensuring adherence to laws, regulations, and industry standards.
  • Draft, review, and negotiate contracts, agreements, and other legal documents to protect the company's interests.
  • Manage litigation or legal proceedings involving the company, coordinating with external counsel as necessary.
  • Advise on corporate governance matters, including board meetings, shareholder relations, and compliance with corporate bylaws.
  • Identify and assess legal risks, developing strategies to mitigate them in partnership with the Ethics and Compliance team.
  • Guide the company on employment-related issues, including hiring, termination, and employee relations.
  • Work closely with other departments to understand their legal needs and align them with the company’s objectives.
  • Conduct legal training sessions for employees to ensure understanding of relevant legal topics and responsibilities.
  • Stay updated on changes in laws, regulations, and industry trends to anticipate potential impacts on the company.


Requirements and Skills:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in Florida.
  • 5-7 years of legal experience, with a significant portion in a corporate setting.
  • Strong negotiation, analytical, and problem-solving skills.
  • Excellent communication and interpersonal skills.
  • Proven experience in corporate, commercial, labor, and ethics law.
  • Ability to manage multiple tasks and work under pressure in a fast-paced environment.
  • Experience leading or advising on corporate governance and compliance matters.
  • Ability to collaborate effectively with cross-functional teams.
  • Experience coordinating with external attorneys on legal proceedings and litigation.

  • Flexible hours, including weekends and off-hours availability as needed.
