Join us as a Counsel, Investor Services

As a member of a global legal team supporting a world class financial services organization, the Counsel will cover fund services and custody within BBH’s Investor Services line of business, with particular focus on the negotiation of client facing contracts, on-boarding and related matter coverage.  This a great opportunity to support critical client on-boarding and negotiations in an active, growing and dynamic market segment for ETFs and Alternative products.

Key Responsibilities:

  • Advise BBH’s business colleagues in the context of client on-boarding and maintenance, including the drafting and negotiation of custody, fund administration and other related agreements, particularly with respect to registered funds, insurance companies and investment advisors.  The candidate will also advise the group in the context of strategic priorities and ancillary agreements for established clients.  Experience with insurance trusts a plus.
  • Advise on legal issues that arise in the context of BBH’s custody and servicing of client assets.  Advise on claims, errors and potential litigation. 
  • Provide legal advice based on strong critical thinking, problem-solving and technical legal skills.
  • Collaborate with business, compliance and legal partners to find solutions to challenging regulatory, contractual and operational issues.
  • The candidate will monitor legal and regulatory developments with respect to the above areas. 

Qualifications:

  • 7-9+ years experience as an attorney and admitted into the state bar
  • Must be a graduate of an accredited law school
  • Excellent knowledge of financial services activities
  • Knowledge of custody banking and fund services
  • Knowledge of relevant areas of law, including UCC and Investment Company Act
  • Strong negotiation and drafting skills, including experience in negotiating and drafting relevant documentation
  • Prior direct experience working in the insurance business is a plus
  • Ability to negotiate complex agreements to completion
  • Ability to prioritize, take initiative and bring projects to conclusion
  • Ability to work effectively with various internal and external constituencies
  • Ability to work with peers while retaining responsibility for results
  • A desire to continually learn, grow and take ownership
  • Strong sense of business and legal ethics
  • Attention to detail is a must

This role is based in our Boston location and is a hybrid role, with three days per week in office.
