Senior Counsel I, Corporate Legal
Our Corporate Contracts Team consists of smart, collegial, and team-oriented attorneys and non-attorney legal professionals that provide day-to-day contracting and transactional support to Gilead’s procurement organization and business units, including research, development, manufacturing, commercial, facilities, IT and G&A. The team works closely with colleagues in IP, procurement, IT security, privacy, and other legal and functional groups to deliver high-quality contracting and transactional support to Gilead’s many business teams, and, in turn, help those business teams execute on Gilead’s mission to address unmet medical needs and improve life by advancing the care of patients with life-threatening diseases.
The Corporate Contracts Team seeks an experienced attorney in technology transactions to help support Gilead’s information technology group and other Gilead groups entering complex technology transactions. Located at the Gilead company headquarters in Foster City, California (hybrid), this senior level role works closely with a world-class and innovative contracts team, a collaborative legal department, and an organization of top-notch procurement professionals. The Senior Counsel primarily supports Gilead’s information technology (IT) department and may also assist with other contract matters related to the procurement of indirect goods and services, as needed.
Responsibilities:
Responsibilities include, but are not limited to:
- Drafts, reviews, and negotiates the following agreements:
- SaaS and other hosted services agreements;
- Software license agreements;
- Managed services agreements; Master service agreements; Consulting agreements; Confidentiality and non-disclosure agreements; and other commercial transactional agreements, including but not limited to non-standard, higher risk contracts involving artificial intelligence (AI), security assessments, patient safety information, and complex data licensing matters.
- Assists client group on various legal projects, including:
- Advising on data security, privacy, and AI issues;
- Identifying risk and experience in generating risk/risk mitigation memos to clients;
- Reviewing contracts, identifying issues, and discussing questions or suggestions with other attorneys, clients, and/or paralegals; and
- Advising on business risk in complex statements of work.
- Develops and improves templates and procedures to drive efficiencies in the legal review process.
- Analyzes non-standard, complex problems based on experience and makes a recommendation on how to proceed.
- Timely advises clients and other attorneys on higher risk issues and proposes alternative legal terms and solutions to the client and opposing counsel.
- Promptly escalates legal issues to a higher level where appropriate but typically handles most contract legal matters from beginning to end.
- Clearly explains contract terms to clients and how they affect the business.
- Exhibits exceptional and demonstrated written and verbal communication skills.
- Collaborates with members of legal department, other business partners (tax, finance, privacy, IT security, and risk management) and internal client departments (IT, HR, Commercial, Research).
Qualifications
- Juris Doctorate from a nationally accredited law school.
- Admission to the California state bar, registration as in-house counsel, or ability to gain admission or registration for within 90 days.
- 8-10 years law firm or in-house relevant experience supporting IT with reviewing, drafting and negotiating a high volume of agreements.
- Must have strong client service orientation and dedication to operational excellence.
- Demonstrates solid understanding of hosted services agreements, information technology issues and privacy law; stays up to date on changes in information technology and privacy.
- Ability to manage and serve internal client groups within the company by recognizing and responding quickly and pragmatically to urgent situations and demanding clients.
- Possess solid negotiation skills with the ability to offer pragmatic solutions to complex and often time-sensitive business challenges.
- Must be able to set appropriate priorities with clients and deliver results within the established timelines, including, proactively and independently inquire and take ownership to answer internal client questions even when minimal information, direction, and/or policies are available.
