JOB SUMMARY:

The Vice President, Associate General Counsel will be an integral part of the Legal Services team and will handle a wide range of contracts for every department within the credit union, with a primary focus on technology related (software, hosting, SaaS, or subscription services) vendor agreements.

DUTIES:

Review, draft, and negotiate a wide variety of commercial contracts to optimize SECU’s position and manage the risks posed by SECU’s vendor relationships, with a primary focus on technology related agreements including but not limited to software, hosting, SaaS, and subscription services.

Work closely with the Deputy General Counsel to develop and implement contract review guidelines and procedures for all SECU commercial agreements.

Provide practical legal advice to business units to facilitate, improve, and strengthen operational decision-making and risk management, with a demonstrated ability to work collaboratively with internal business, technical, risk, and procurement teams.

Liaise with outside counsel as necessary on transactional or other matters.

Analyze and advise on potential new products and services through RFI/RFP processes.

Stay abreast of the latest legal developments impacting SECU’s commercial agreements and vendor relationships.

Design, build, and develop standardized documents, templates, and clauses to streamline contract management processes, with an eye towards enhancing efficiency.

Accept special projects and perform other tasks as assigned.

REQUIREMENTS:

J.D. degree from an accredited law school; four-year degree from an accredited college or university.

North Carolina State Bar license.

At least five (5) to eight (8) years of relevant experience in a law firm or in-house corporate legal department, with a primary focus in general commercial contract negotiations.

Strong knowledge of transactional and general corporate law.

Work independently and on a time-sensitive basis while managing multiple competing priorities, and an ability to organize workloads to meet organizational timelines.

Excellent reading and language comprehension skills with attention to detail and an ability to provide clear and concise legal advice to a variety of stakeholders.

Strong critical thinking and problem-solving skills, with an ability to identify issues.

Excellent communication and customer service skills.

Act in a professional manner on and off the job and be courteous and discreet in the performance of duties and hold information in strict confidence.

Ability to remain flexible and adapt to changing departmental and organizational demands.

Dedication to SECU philosophy and work ethic.

Must be able to speak English fluently.

Ability to cooperate and collaborate with co-workers and be cordial in all interactions.

Must complete the Credit Union’s training requirements within 12 months of hire date as a condition of employment.

PREFERRED SKILLS AND EXPERIENCE:

Previous experience in a role requiring extensive technology contract drafting and negotiation in either a procurement or sales support capacity.

Knowledge of federal and North Carolina laws and guidance applicable to financial institutions management of third-party relationships.

Knowledge of credit union systems and processes, including familiarity with laws and regulations affecting state chartered, federally insured credit unions.

Knowledge of security and privacy laws and standards applicable to large credit unions, including the Gramm-Leach-Bliley Act (GLBA) as implemented by the NCUA and CFPB.

Management of attorneys and paralegals.

Track record of partnering with business units and cross-functional teams to accomplish organizational objectives.
