What you will be doing:
The Senior Legal Counsel will play a key role in providing legal guidance and support to our operations. Your role will encompass a wide range of responsibilities, including legal compliance, contract management, risk mitigation, and corporate governance. You will be responsible for ensuring compliance with application laws and regulations, managing legal risks, and supporting the achievement of business objectives.
What your primary responsibilities will be:
- Develop and implement policies and procedures to ensure compliance with legal requirements.
- Review, draft, and negotiate a wide range of contracts, including customer agreements, vendor contracts, licensing agreements, and partnership agreements. Ensure that contractual terms are favorable to the company and aligned with its strategic objectives.
- Identify legal risks and provide proactive advice and solutions to mitigate such risks. Work closely with internal stakeholders to address legal issues and implement risk mitigation strategies.
- Manage and oversee litigation matters involving the company, including disputes, claims, and regulatory investigations. Collaborate with external legal counsel as needed to achieve favorable outcomes.
- Oversee the company’s various compliance programs, including privacy compliance, government contract regulatory compliance, etc.
- Develop and deliver legal training programs to educate employees on relevant legal issues and compliance requirements.
- Assist in the development and implementation of company policies and procedures to ensure legal compliance and promote ethical conduct.
What you will need:
- Juris Doctor (JD) degree or an LL.M. from a nationally recognized law school.
- Licensed to practice law in the state of California
- Minimum of 8+ years of relevant experience practicing law, preferably in a corporate legal department or law firm environment.
- Strong knowledge of commercial law, contract law, and regulatory compliance.
- Prior experience drafting and negotiating commercial distribution agreements.
- Experience in the technology industry or related field is highly desirable.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong analytical and problem-solving abilities.
- High level of integrity, professionalism, and ethical conduct.
- Outstanding listening skills and attention to detail
- Fluency in Chinese Mandarin is strongly preferred
Physical Demands:
- Must be able to remain in a stationary position 50% of the time if needed
- May be required to stand for long periods of time
- Constantly operates a computer and possibly other work related machinery
- Frequent, continual, intermittent flexing, or rotation of the wrist(s) and spine including repetitive motions
- Constantly receiving detailed information through oral communication
- Constant talking, expressing, or exchanging ideas by means of verbal communication
- Constant clarity of vision at near and/or far distances
- May be exposed to outdoor weather conditions and noise levels
