Compensation: $134,066 - $157,699
Actual salaries will be based on candidates qualifications, competencies, experience and geographic location. .

The Corporate Counsel - Contract and Compliance is responsible for advising on all matters involving contracts, especially for the marketing and supply chain teams. This attorney will act with the highest level of integrity and ethics (both personal and professional) in all aspects of job performance.
The Corporate Counsel is a hybrid position. At MOD this means Mon-Thur you will work onsite in our Support Center located in Bellevue, Washington. Your schedule is a standard business day and has flexibility to come in early or stay late based on your personal and work demands.
⦁ Position reports to the Vice President of Legal.
⦁ Support the supply chain department on all initiatives and contractual requirements.
⦁ Support the marketing department on day-to-day matters and assist with promotional reviews and related content.
⦁ Support, advise on and advance intellectual property matters; maintain IP portfolio.
⦁ Responsible for negotiating and drafting a wide range of commercial, operational and technology agreements, including vendor contracts, software licensing, supply chain, professional services, content/data and creative services agreements.
⦁ Partner and advise re building processes using AI and other technologies for contract drafting, review and maintenance.
⦁ Support other day-to-day legal matters as they arise and attend to general corporate matters, as assigned.
⦁ Must have excellent communication skills and ensure that the VP of Legal is kept appraised of the existence of pending matters and their status.
⦁ Must have a JD degree from an accredited law school.
⦁ 4+ years of commercial contracts experience, preferably in the supply chain and marketing industry.
⦁ Must have experience with (or ability to quickly learn) critical legal frameworks to support marketing efforts, including laws impacting promotions, menu and advertising disclosures and use of intellectual property.
⦁ Must be able to work collaboratively in a team-oriented legal environment.
⦁ Sound judgment; ability to clearly make reasoned and concise recommendations; ability to cross think and determine who should be kept informed.
⦁ Self-starter with good business judgment, a sense of urgency and high degree of professionalism.
⦁ Ability to prioritize, organize and work efficiently and independently in a high-volume, results-oriented environment.
⦁ Dependable and can be counted upon to meet deadlines and commitments.
⦁ A pragmatic and risk-adjusted business sensibility; analytical and detail-oriented.
Office work involves remaining in a stationary position most of the time in front of a computer, using a keyboard, mouse and telephone. Regularly operate a computer and other office equipment. Occasionally move about the work site to access file cabinets, office equipment, etc. Exert up to 10 lbs. of force occasionally, and/or a negligible amount of force frequently or regularly move objects. Communicate and exchange information with co-workers and other individuals in person and electronically.
