Job Purpose
Reporting to Vice President, Legal, this position will provide legal support to our commercial and industrial business unit. The Commercial Counsel will review, draft and negotiate various project agreements and documentation associated with the development, financing, construction and operation of distributed solar and storage solutions for C&I behind-the-meter, Muni-CoOp and community solar customers, from the earliest stages through construction and into commercial operation. In such role, the attorney will support multiple departments, including development, construction, operations and finance, by reviewing, drafting and negotiating real estate agreements, interconnection agreements, PPAs and REC agreements, consulting contracts, procurement and construction agreements and O&M and warranty agreements. The attorney will also support the structuring, negotiating and closing of M&A transactions, construction and permanent financing, tax equity investments and other credit facilities. This position will be responsible for foreseeing and protecting the Company against legal risks and is expected to rely on experience and judgment to plan and accomplish goals.
Responsibilities
- Structure, negotiate, draft and review various project agreements including power purchase agreements, capital equipment supply and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings, and applications to various local, state, and federal agencies (including FERC).
- Independently draft and provide critical review of real estate documents, including leases and access agreements. Manage title insurers in connection with real estate transactions.
- Advise and counsel capital markets and finance teams on risks associated with financing and M&A transactions and develop plan to mitigate
- Independently and critical review of MIPAs, debt and tax equity agreements
- Coordinate with development and origination teams to ensure project agreements are financeable
- Manage outside counsel to ensure efficient and effective completion of tasks.
- Assist with maintenance of contract database
- Coordinate efforts with other corporate legal and senior management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management
- Identify critical project risk issues and make recommendations
- Work as a team and as an effective manager of resources
Minimum Qualifications
- Law degree required (J.D.) and must be admitted in California
- 5 years of experience as a lawyer in the renewable space, including specific legal knowledge and experience in solar C&I matters
- Must have prior experience in the development and construction of power facilities or infrastructure for an energy project developer or other energy company.
- Ability to identify risks and propose solutions to mitigate risks
- Ability to handle multiple projects and work successfully in a dynamic team environment.
- Proficient in Windows environment, MS Office, Outlook, Excel; technically savvy
Desired/Preferred Qualifications
- Project finance and/or tax equity financing experience preferred.
- Experience as in-house counsel preferred but not required. Training with top tier law firm preferred
