What You'll Do
- Supervise, direct, and manage all global legal personnel and departmental functions and services to meet all global legal business needs
- Direct the review, drafting and negotiation of all contractual obligations to which the Company is a party
- In collaboration with the CAO, advise and counsel Company management and Human Resources with respect to personnel matters to ensure proper consideration of legal requirements
- Advise and counsel Company management with respect to intellectual property matters to ensure proper consideration of legal requirements and the protection of the Company’s intellectual assets
- Advise and counsel Company management with respect to general business matters to ensure proper consideration and compliance with global legal requirements and the Company’s objectives
- Supervise, direct, and manage all litigation, legal claims, and contractual disputes in which the Company is involved
- Oversee the contracting process with clinical investigators relative to clinical research projects in which the Company is involved
- Procure and maintain all lines of the Company’s commercial insurance package and liability insurance program
- Provide guidance, counsel, and advice in all other matters as requested from time to time by the CAO and Company’s management
- Supervise, direct, manage, train, and assist with the development of legal department personnel in the performance of any of the foregoing responsibilities
- Support the Executive Team and other leadership groups responsible for setting the organization’s strategic direction, defining corporate policies, and evaluating the business and social performance of the organization
- Work with CAO to supervise, direct, and manage all M&A Transactions
- Supervise, direct, and manage global data privacy compliance and initiatives
- In collaboration with the CAO, responsible for corporate governance and maintaining corporate records
- Keep the CAO fully informed of the conduct of the day-to-day affairs of the legal department
- Drive innovation and continuous improvement in all areas of legal department processes
- Manage the financial performance of the global legal department according to budget
- Manage billable requirements of the legal team according to goals and targets
- Establish strategy for departmental growth and talent development in accordance with business needs
What You Bring
- Excellent verbal and written communication skills
- Demonstrated sound legal, ethical, and business judgment
- Demonstrated ability to lead and manage teams
- At least 10 years of experience in general corporate law including at least two years as in-house legal counsel
- Juris Doctor degree from an accredited law school
- Management and supervisory experience
- Membership to the Ohio or Kentucky bar in good standing, or membership to another State Bar with registration to Corporate Counsel Status in Ohio or Kentucky at earliest opportunity
- Previous experience as a General Counsel preferred
- Previous experience with a contract research organization is highly preferred
