Sr. Associate Attorney - Corporate (Mergers & Acquisitions/Private Equity)

Locations: Century City, CA

 

Our client, a prestigious AmLaw 50 firm, is seeking an experienced Corporate Associate Attorney to join their highly-regarded Mergers & Acquisitions (M&A) and Private Equity practice in their Century City office. This is an outstanding opportunity for a senior-level associate to play a lead role in complex, high-value transactions alongside a nationally recognized corporate team.

 

Candidate Profile:
  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in California.

  • 5+ years of substantive experience in M&A and/or private equity transactions.

  • Significant experience advising public and private companies, private equity sponsors, and portfolio companies in strategic transactions, including leveraged buyouts, joint ventures, divestitures, and recapitalizations.

  • Strong drafting and negotiation skills across all aspects of M&A deal documentation, including stock and asset purchase agreements, merger agreements, and disclosure schedules.

  • Proven ability to lead deal teams, manage junior associates, and serve as a direct point of contact with clients.

  • Exceptional communication, problem-solving, and organizational skills, with a practical, business-oriented approach to counseling clients.

 
Key Responsibilities:
  • Advise clients through the full lifecycle of mergers, acquisitions, and other strategic transactions.

  • Lead transaction management and execution, including due diligence, drafting and negotiating definitive agreements, and overseeing closings.

  • Collaborate with attorneys across practices such as tax, finance, and employment to deliver integrated solutions.

  • Support private equity sponsors on investment structures, exit strategies, and portfolio company governance.

  • Maintain and build strong client relationships through proactive and strategic legal counsel.
